Telenor announced on March 21 that it has agreed to sell its operations in Hungary, Serbia, Montenegro, and Bulgaria to PPF Group for EUR 2.8 billion (NOK 26.6 billion, $3.4 billion). These operations accounted for roughly 9% of the firm’s 2017 revenue and 8% of its EBITDA. The price values the operations at about 6.5 times 2017 EBITDA, which we believe is fair given limited growth prospects in this region. Thus, we are maintaining our NOK 164/$21 fair value estimates and narrow moat rating, and believe the shares are fairly valued.

After Telenor lost its power struggle for control of Veon (then VimpelCom) to LetterOne (then Altimo), Mikhail Fridman’s investment company, and had financial problems in Uzbekistan, the firm sold most of its stake in Veon, and exited Uzbekistan. It later exited India, and with these divestitures the firm has pretty much exited Central and Eastern Europe. Its focus is now on its Nordic and Asian businesses. We think these regions make the most sense. The Nordics is its home region, and while growth in Asia has slowed, we still believe it has greater revenue growth opportunities as customers increasingly use more data. There is still room for some subscriber growth as well, particularly in Bangladesh.

The firm plans to use some of the proceeds to pay a special dividend of NOK 4.40 per share. It is also looking at a possible stock buyback. Telenor already has one of the lowest debt/EBITDA levels, at about 1 times, among European telecom operators, so it will have the financial capacity to reinvest the cash elsewhere.
